OpenAI's Microsoft Deal: Now with Convenient Escape Clause

Apparently 'exclusive' partnerships have expiration dates when the hot new company remembers it has leverage.

OpenAI and Microsoft have announced a revised partnership that permits OpenAI to peddle its models across multiple cloud providers—a stunning reversal of what was presumably a fairly major agreement just moments ago, or at least in venture time. The original pact, announced with the kind of fanfare reserved for historic tech marriages, has been quietly amended to let OpenAI waltz over to Amazon Web Services and Google Cloud whenever it feels like maximizing distribution and, more importantly, negotiating leverage.

The shift is being characterized as a widening of OpenAI's reach to enterprise customers who stubbornly refuse to adopt Microsoft's cloud ecosystem. Apparently when you're the company training every other company's large language models, you don't need to be shackled to your patron's infrastructure. Cloud exclusivity, it turns out, is a negotiating position rather than a contract feature—a distinction that Microsoft's deal lawyers presumably learned the hard way.

The press release language around this "revised" pact will no doubt emphasize 'partnership flexibility' and 'customer-centric innovation,' words that translate roughly to: 'We signed something we didn't think through.' The true artistry lies in executing a strategic reversal while maintaining the fiction that both parties still regard each other as anything more than transactional.

In tech dealmaking, there are truly binding agreements, and then there are agreements binding until someone more important calls with a better offer. OpenAI just reminded everyone which category it occupies.
